1. Agreement to Terms

By accessing or using the Joana AI service ("Service"), website, applications, or any related services provided by Applied Musearch ApS (CVR nr. 45763773), a company registered in Denmark with its registered address at Klitrosevej 11, 8200 Aarhus N, Denmark, operating under the brand name Joana ("Company," "we," "us," or "our"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Service after any changes constitutes acceptance of the revised Terms.

2. Eligibility & Account Approval

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service. By signing up, you acknowledge and agree that:

• All sign-ups are subject to manual review. We reserve the absolute right to review, approve, or reject any account application at our sole discretion, for any reason or no reason, even after you have completed payment.
• Account activation is not guaranteed. Completing the checkout process does not entitle you to access the Service. Access is granted only after your account has been approved by our team.
• We may delay, suspend, or deny account activation at any time, including after a trial or subscription period has begun, if we determine in our sole discretion that your use does not meet our criteria.
• We may request additional information or verification before approving your account.

3. Free Trial

We may offer a free trial period at our discretion. By starting a free trial, you agree to the following:

• The trial period does not begin until your account has been approved. We reserve the right to postpone the start of your trial indefinitely pending review.
• If your account is not approved, the trial will not commence and no charges will apply.
• The duration, features, and availability of the free trial are subject to change or revocation at any time without notice.
• Unless you cancel before the trial ends, your subscription will automatically convert to a paid plan and your payment method will be charged the applicable subscription fee.
• We reserve the right to limit free trials to one per person, household, or payment method.

4. Subscription & Billing

The Service is offered on a recurring subscription basis. By subscribing, you agree that:

• Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date.
• All fees are quoted in US Dollars (USD) and are exclusive of any applicable taxes.
• We reserve the right to change subscription pricing at any time. Pricing changes for existing subscribers will take effect at the start of the next billing cycle following notice.
• You are responsible for keeping your payment information current and accurate.

5. Refund Policy

All payments are non-refundable unless otherwise required by applicable law. Specifically:

• No refunds will be issued for partial billing periods, unused time on a subscription, or downgrade of service.
• If your account is rejected during the review process before any service is delivered, any charges collected will be refunded in full.
• If you cancel during a free trial before the trial ends, you will not be charged and no refund is necessary.
• Once your subscription converts from a free trial to a paid plan, that charge is final and non-refundable.
• We reserve the right to issue refunds or credits at our sole discretion on a case-by-case basis. Issuing a refund in one instance does not entitle you or others to a refund in similar circumstances.

6. Acceptable Use

You agree not to use the Service to:

• Send spam, unsolicited messages, or bulk email.
• Violate any applicable law, regulation, or third-party rights.
• Attempt to gain unauthorized access to the Service, other accounts, or computer systems.
• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
• Use the Service for any fraudulent, abusive, or illegal activity.
• Resell, redistribute, or sublicense access to the Service without our prior written consent.

We reserve the right to suspend or terminate your account immediately, without notice or refund, if we determine that you have violated these terms.

7. Service Availability & Modifications

We strive to keep the Service available at all times but do not guarantee uninterrupted access. We reserve the right to:

• Modify, suspend, or discontinue any part of the Service at any time, with or without notice.
• Perform scheduled or unscheduled maintenance that may temporarily affect availability.
• Change features, functionality, or the scope of the Service.

We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

8. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, software, and design — are the exclusive property of the Company and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

9. Your Data & Email Access

The Service requires access to your email account (e.g., Gmail or Outlook) to function. By connecting your email, you grant us permission to read, process, and generate responses on your behalf. You retain full ownership of your email data. We do not sell, share, or use your email content for any purpose other than providing the Service. See our Privacy Policy for more details.

10. Limitation of Liability

To the maximum extent permitted by applicable law, the Company and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, revenue, profits, or business opportunities, arising out of or related to your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

In no event shall our total aggregate liability exceed the amount you have paid us in the twelve (12) months preceding the event giving rise to the claim.

11. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, uninterrupted, secure, or that any defects will be corrected. AI-generated content may contain errors or inaccuracies; you are solely responsible for reviewing any emails before they are sent.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time, for any reason, with or without notice, including but not limited to breach of these Terms. Upon termination:

• Your right to use the Service ceases immediately.
• We are not obligated to retain or provide any of your data.
• No refund will be issued for any remaining subscription period.

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing cycle.

14. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of Denmark, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the courts of Denmark. You waive any objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
